1. Introduction and Acceptance

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“You” or “Your”) and Revly Development LLC (also referred to as “Revly LLC”, “We”, “Us”, or “Our”) governing your access to and use of the CareFlow AI platform, including https://mdcareflow.com (the “Website”), any associated mobile or web applications, and all services accessible through them (collectively, the “Service”).

BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY, WHICH IS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY CEASE USING THE SERVICE.

If you are using the Service on behalf of an organization (such as a medical practice, health system, or employer), you represent and warrant that you have authority to bind that organization to these Terms, and references to “You” include that organization.

2. Description of Service

CareFlow AI is a cloud-based care management platform designed to assist healthcare practices in delivering Chronic Care Management (CCM), Remote Patient Monitoring (RPM), and related care coordination services. The Service includes tools for patient management, clinical documentation, billing support, care plan generation, AI-assisted workflows, secure messaging, and related administrative features.

Not a Medical Device; Not Clinical Advice. The Service is a software tool intended to support qualified healthcare professionals. It does not constitute medical advice, diagnosis, or treatment. Any AI-generated content (care plan suggestions, risk narratives, clinical summaries) is provided as a draft aid for review and approval by a licensed clinician and must not be relied upon as a substitute for professional medical judgment.

3. Eligibility and Accounts

3.1 Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract to use the Service. The Service is intended for use by healthcare organizations and their authorized staff. Unauthorized use by individuals not affiliated with a subscribing Customer organization is prohibited.

3.2 Account Registration

To access most features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for all activity that occurs under your account.

3.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials. You agree to notify Revly Development LLC immediately at support@mdcareflow.com if you become aware of any unauthorized use of your account or any other security breach. Revly Development LLC will never ask you to share your password via email or phone.

3.4 Customer Accounts (Healthcare Organizations)

If your organization enters into a separate written agreement or order form with Revly Development LLC (“Customer Agreement”), those terms govern your use of the Service to the extent they conflict with these Terms. The Customer organization is responsible for all users it provisions access to and for ensuring those users comply with these Terms.

4. HIPAA and Protected Health Information

Where Revly Development LLC processes Protected Health Information (“PHI”) on behalf of a healthcare practice (a HIPAA Covered Entity), Revly Development LLC acts as a Business Associate under HIPAA. Such processing is governed by the Business Associate Agreement (“BAA”) executed between Revly Development LLC and the Customer. You agree to use the Service only in accordance with applicable HIPAA requirements, your organization’s policies, and the terms of any BAA in place.

You represent and warrant that you will not input PHI into the Service unless your organization has executed a BAA with Revly Development LLC and you are authorized under applicable law to access and share such information.

5. Acceptable Use

You agree that you will NOT use the Service to:

  • violate any applicable federal, state, local, or international law or regulation, including HIPAA, HITECH, and applicable state health information privacy laws;
  • access or attempt to access patient data, user accounts, or systems you are not authorized to access;
  • upload, transmit, or store any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or invasive of another’s privacy;
  • introduce any viruses, malware, ransomware, Trojan horses, or other harmful code;
  • attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Service;
  • scrape, crawl, or use automated means to access or collect data from the Service without our express written permission;
  • use the Service to develop a competing product or service;
  • impersonate any person or entity or misrepresent your affiliation with any person or entity;
  • use the AI features of the Service to generate clinical output that is shared with patients or used for clinical decisions without qualified clinician review and approval.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including all software, text, graphics, logos, user interfaces, and underlying technology, is owned by or licensed to Revly Development LLC and is protected by applicable copyright, trademark, patent, and other intellectual property laws. These Terms do not grant you any ownership rights in the Service. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely for its intended purpose and subject to these Terms.

6.2 Your Content

You retain ownership of data, PHI, and other content you or your organization input into the Service (“Customer Content”). You grant Revly Development LLC a limited, non-exclusive license to process Customer Content solely to provide and improve the Service, as described in our Privacy Policy and any applicable BAA. You represent and warrant that you have all rights necessary to grant this license.

6.3 Feedback

If you provide Revly Development LLC with feedback, suggestions, or ideas about the Service, you grant Revly Development LLC a perpetual, irrevocable, worldwide, royalty-free license to use such feedback for any purpose without compensation or attribution to you.

7. AI Features and Clinical Decision Support

The Service incorporates artificial intelligence features powered by Amazon Bedrock (Claude) and may in the future include proprietary models developed by Revly Development LLC. These features are designed to assist, not replace, qualified clinical judgment.

  • All AI-generated care plans, risk scores, clinical summaries, and similar outputs must be reviewed and approved by a licensed healthcare professional before being used in patient care.
  • Revly Development LLC de-identifies patient data before submitting information to AI models in accordance with 45 CFR § 164.514 and our Privacy Policy.
  • Revly Development LLC’s AI infrastructure operates within AWS, which has executed a HIPAA Business Associate Agreement with Revly Development LLC. AWS Bedrock does not use your data to train its underlying foundation models.
  • You acknowledge that AI-generated content may contain errors and that Revly Development LLC is not liable for clinical outcomes arising from reliance on AI-generated content without appropriate clinician review.

8. Third-Party Services and Integrations

The Service may integrate with or link to third-party services, including but not limited to electronic health record (EHR) systems, remote monitoring device manufacturers, and laboratory information systems. Revly Development LLC does not control these third-party services and is not responsible for their content, privacy practices, or performance. Your use of any third-party service is subject to that service’s own terms and privacy policy.

9. Fees and Payment

Access to certain features of the Service requires a paid subscription as set forth in a Customer Agreement or order form. All fees are non-refundable except as expressly stated in a Customer Agreement. Revly Development LLC reserves the right to change its pricing at any time upon reasonable advance notice to existing customers. Failure to pay fees when due may result in suspension or termination of access to the Service.

10. Term and Termination

10.1 Term

These Terms remain in effect as long as you use the Service. A Customer Agreement, if applicable, will govern the subscription term for the organization.

10.2 Termination by You

You may discontinue use of the Service at any time. To close your account, contact support@mdcareflow.com.

10.3 Termination by Revly Development LLC

Revly Development LLC may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Service immediately ceases.

10.4 Effect of Termination

Upon termination or expiration of a Customer Agreement, Revly Development LLC will make Customer Content available for export for a period specified in the Customer Agreement. After that period, Revly Development LLC may delete Customer Content from its systems, subject to applicable HIPAA and legal retention requirements.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. REVLY DEVELOPMENT LLC DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT ANY ERRORS WILL BE CORRECTED. THE SERVICE IS NOT INTENDED TO REPLACE THE PROFESSIONAL JUDGMENT OF A LICENSED HEALTHCARE PROVIDER.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REVLY DEVELOPMENT LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF REVLY DEVELOPMENT LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL REVLY DEVELOPMENT LLC’S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO REVLY DEVELOPMENT LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00).

13. Indemnification

You agree to indemnify, defend, and hold harmless Revly Development LLC and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to (a) your violation of these Terms; (b) your use of the Service; (c) any content or data you submit to the Service; or (d) your violation of any applicable law or the rights of any third party.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of [STATE], without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in [COUNTY, STATE], and you consent to the personal jurisdiction of such courts.

Informal Resolution. Before filing any claim, you agree to contact Revly Development LLC at legal@mdcareflow.com and attempt to resolve the dispute informally. Revly Development LLC will attempt to resolve the dispute informally by contacting you via email within 30 days. If the dispute is not resolved within 30 days of submission, either party may pursue formal proceedings.

15. Changes to These Terms

Revly Development LLC reserves the right to modify these Terms at any time. If we make material changes, we will post the revised Terms with an updated effective date and provide reasonable advance notice via email or in-product notification. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance. If you disagree with the revised Terms, you must discontinue use of the Service.

16. General Provisions

  • Entire Agreement. These Terms, together with the Privacy Policy and any applicable Customer Agreement, constitute the entire agreement between you and Revly Development LLC regarding the Service and supersede all prior agreements or understandings.
  • Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
  • Waiver. No waiver of any provision of these Terms will be effective unless in writing signed by Revly Development LLC.
  • Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Revly Development LLC may assign these Terms freely, including in connection with a merger or acquisition.
  • No Third-Party Beneficiaries. These Terms do not confer any rights on third parties.
  • Force Majeure. Revly Development LLC will not be liable for any failure or delay in performance due to causes beyond its reasonable control.
